These Terms of Service (“Terms”) apply to your use of lakebendsoftware.com (the “Website”) and to services provided by Lakebend Software LLC, a New Mexico limited liability company (“Lakebend Software”, “we”, “us” or “our”). By using the Website or engaging our services, you agree to these Terms.
1. Our services and agreements
We provide custom software development and related consulting services. Each engagement is defined in a written proposal, statement of work or services agreement (an “Agreement”) signed by both parties. These Terms apply to every engagement. If an Agreement conflicts with these Terms, the Agreement controls.
2. Estimates and quotes
Prices, timelines and ranges shown on the Website, including results from our cost estimator, are non-binding estimates for planning purposes only. They are not offers or quotes. Final scope, price and schedule are set only in a signed Agreement. All prices are in US dollars unless an Agreement states otherwise.
3. Payments
- Invoices are issued by Lakebend Software LLC and are due within 15 days of the invoice date unless an Agreement states otherwise.
- Fixed-scope projects are typically billed by milestone. Ongoing work, such as dedicated teams and support plans, is typically billed monthly in advance.
- Prices do not include taxes. Any applicable taxes are shown separately on your invoice.
- If an invoice is overdue, we may pause work after giving you written notice, and resume once the account is brought up to date.
Cancellations and refunds are covered by our Refund Policy.
4. Changes to scope
Requests outside the agreed scope are estimated as a change order. We start that work only after you approve the change order in writing.
5. Intellectual property
Unless an Agreement states otherwise, ownership of the custom code, designs and other deliverables we create specifically for you transfers to you once the related invoices are paid in full. We keep ownership of our pre-existing tools, libraries and general know-how, and grant you a perpetual, royalty-free license to use any of them that are included in your deliverables. Open-source components remain subject to their own licenses.
The Website and its content, including text, graphics and the Lakebend Software name and logo, are owned by Lakebend Software LLC or its licensors and may not be copied or reused without our permission.
6. Confidentiality
We treat information you share with us about your business as confidential and use it only to evaluate and deliver your project. We are happy to sign a mutual non-disclosure agreement before you share sensitive details.
7. Your responsibilities
To deliver on schedule we rely on timely feedback, decisions, access to systems and accounts, and accurate information from you. You are responsible for having the rights to any materials, data or content you provide to us.
8. Acceptable use of the Website
You agree not to misuse the Website, including by attempting to gain unauthorized access, interfering with its operation, introducing malicious code or using automated means to scrape it in a way that burdens our systems.
9. Third-party names, logos and links
Product names, logos and brands shown on the Website, such as the technologies we work with, are the property of their respective owners. Their use is for identification only and does not imply endorsement, sponsorship or partnership. Links to third-party websites are provided for convenience, and we are not responsible for their content.
10. Disclaimers
The Website and its content are provided “as is” for general information. To the extent permitted by law, we disclaim all warranties regarding the Website, including warranties of merchantability, fitness for a particular purpose and non-infringement. Warranties for our services, if any, are set out in the applicable Agreement.
11. Limitation of liability
To the extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability arising from your use of the Website is limited to US $100. Our liability for services is limited as set out in the applicable Agreement or, if the Agreement does not address it, to the fees you paid for the services giving rise to the claim in the 12 months before the claim.
12. Governing law
These Terms are governed by the laws of the State of New Mexico and applicable federal laws of the United States, without regard to conflict-of-law rules. Before starting any formal proceeding, both parties agree to try in good faith to resolve the dispute informally within 30 days of written notice. Any proceeding that cannot be resolved informally will be brought in the state or federal courts located in New Mexico, unless an Agreement states otherwise.
13. Changes to these Terms
We may update these Terms from time to time. The date at the top of this page shows when they were last changed. Changes do not affect Agreements already signed unless both parties agree in writing.
